Introduction

MAEKO Sales & Services Sdn Bhd was founded on 12th May 2016 by a skilled and experienced biotech team to resolve the ever challenging concerns of food waste disposal. What started off initially as a passion, grew into an enterprise through the successful research and development of MAEKO’s proprietary food waste composting technology, which was able to convert everyday food waste into reusable bio-organic compost within a short span of 24 hours.

Building on this breakthrough, MAEKO is committed towards creating innovative technology to make composting a closed-loop solution of resolving food waste disposal concerns and achieving environmental sustainability. To-date, MAEKO has successfully converted more than 5,500,000 kilograms of food waste into organic compost used for planting and continues to actively contribute towards the Sustainable Development Goals of the United Nations on environmental conservation.

With MunchBOT, MAEKO’s proprietary food waste composting technology has now been redeveloped into a modern, portable, and user-friendly food waste composting unit, in order to make food waste composting practices an ideal and accessible option to a larger community of home and business owners everywhere.

What We Do

The Challenge

Food waste concerns are much more serious than we can imagine, with Malaysia ranking No. 5 in food wastage globally, generating close to 15,000 tonnes of food waste daily, and with each person contributing 540 - 560 kilograms of food wastage per year.

Based on a 2015 report by Malaysia’s Performance Management and Delivery Unit (PEMANDU), Malaysia generates:

33,000 tonnes of solid waste per day;
15,000 tonnes of food waste per day, of which 9,700 tonnes are generated by households.

The common “out of sight, out of mind" approach to food waste disposal, by simply discarding them to landfills is no longer acceptable, especially when communities become more responsible and aware of the implications when food waste is not managed or disposed off properly:

Landfill Overflow

Landfill capacities are overtaxed. The constant need for landfill expansion and management imposes a huge financial burden on the country and is a waste of valuable land and resources

High Carbon footprint

High carbon footprints are caused by garbage trucks that transport food waste to landfills located far away from the initial waste source. This can be avoided by treating food waste at its source.

Environmental Pollution

Leakages from food waste during transportation and dumping at illegal landfill sites seep into our water supplies, pollute our ecosystem, and breeds pests and diseases.

Greenhouse Gas

Food waste from landfills compost anaerobically and emit methane gas, which accounts for almost 12% of total global methane emission and 5% of total greenhouse gas emissions.

ii) A referral payment from the Issuer of 10% on the retail price for each successful referral of a customer / purchaser to the Issuer, which leads to a completed sale of a MunchBOT unit, until the Shares are redeemed or converted in accordance with this Term Sheet.

Impact on Shareholding Structure Upon Completion of the Offering

Investor Eligibility: Retail, Angel, Sophisticated, and/or Institutional Investors, subject to the applicable investment limits prescribed under the Securities Commission’s Guidelines on Recognised Markets.

Pre Emptive Rights: Holders of the Shares are deemed to have agreed to waive their pre-emptive rights, if any, under section 85 of the Companies Act 2016.

Type of Shares

Preference Shares (the “Shares”) with the following terms:

Dividends

Class 1: Investments in the range of RM 1,000 to 15,000
The owner of Shares within this class (with a minimum investment amount of RM 1,000 to RM 15,000 in value) shall be entitled to fixed cumulative dividends at the rate of 2.3% per annum on the investment amount (payable annually at the end of each financial year), commencing from the 2nd financial year post the date of issuance of the Shares, until the Shares are redeemed or converted in accordance with this Term Sheet.

Class 2: Investments in the range of RM 16,000 to RM 49,000
The owner of Shares within this class (with a minimum investment amount of RM 16,000.00 to RM 49,000.00 in value) shall be entitled to fixed cumulative dividends at the rate of 3.8% per annum on the investment amount (payable annually at the end of each financial year), commencing from the 2nd financial year post the date of issuance of the Shares, until the Shares are redeemed or converted in accordance with this Term Sheet.

Class 3: Investments of RM 50,000 and above
The owner of Shares within this class (with a minimum investment amount of RM 50,000.00 and above in value) shall be entitled to fixed cumulative dividends at the rate of 6.0% per annum on the investment amount (payable annually at the end of each financial year), commencing from the 2nd financial year post the date of issuance of the Shares, until the Shares are redeemed or converted in accordance with this Term Sheet.
Conversion / Redemption
Upon the expiry of 4 years post the date of issuance of the Shares (or at any time prior thereto), the Issuer shall be entitled to elect and cause either one of the following options to be carried out:

Option 1:
The Shares held by the owner shall be converted into ordinary shares of the Issuer based on a pre-money valuation of the Issuer of RM 16,000,000.00 (prior to such conversion), subject to rounding up or down at the discretion of the Issuer, should the shares be reflected in decimals.

OR

Option 2:
The Shares held by the owner shall be redeemed by the Issuer at a value of RM 1.00 for each Share.

Information

Closing Period: 14 working days after the end of the Fundraising Period.

Use of Proceeds: 51.25% for manufacturing; 15% for advertising and promotion; 12.5% for research and development; 13.75% for operational expenses; and 7.5% for global launch and collaboration.

Subscription Procedure: An Investment Agreement (with an Annexed Partnership Agreement) for the subscription of the Shares and subject to review and / or amendment if required or deemed necessary by the Issuer and the ECF Platform.
