(a) Liquidation Preference
In the event of the Company’s liquidation, each of the ECF Shares subscribers shall be paid an amount equal to one time (1x) nonparticipating preference of the aggregate original subscription price per ECF Shares for all the ECF Shares held by that subscriber, provided that if there are insufficient assets and funds of the Company to pay the Liquidation Preference amount to all holders of ECF Shares, then the assets and funds shall be distributed to the holders of ECF Shares pro rata to their respective holdings of ECF Shares;
(b) Automatic Conversion rights
Upon obtaining the approved IPO (“Conversion Event”), ECF Shares shall be automatically converted into Ordinary Shares, subject to the terms and conditions stated in the Shareholders Agreement.
(c) Ranking
The ECF Shares shall rank equally amongst themselves and the Preference Shares in all respects but shall rank in priority to all Ordinary Shares.
(d) Voting rights
The Voting rights of the ECF Shares subscriber shall be limited to the Reserved Matters of Preference Shareholders only.
(e) Tag-Along rights
The ECF subscriber shall be entitled to exercise their Tag-Along rights in the event any of the Founders of the Company decides to transfer their shares to another party.
(f) Redemption rights
The Redemption rights allow the Company to but does not obligate, redeem the ECF Shares from the ECF Shares subscriber, subject to the Company having successfully attained Profit After Tax (PAT) of RM 15.8 mil within its audited financials for the financial year ending 2027 (“Redemption Event”).
In the event of the Redemption Event, the ECF Shares subscriber is entitled to redeem up to 7.82% of the ECF Shares subscribed by each respective ECF Share subscriber, at a premium of 1.5 times the originally subscribed ECF Shares price, within 6 months from the date of such Redemption Event.
The Company shall have full discretion and is not obligated to redeem the remaining 50% of each ECF Share subscriber’s total ECF Shares.
(g) Dividend
Class 1: Investments in the range of RM 1,888 to 15,000
The owner of Shares within this class (with a minimum investment amount of RM 1,888 to RM 15,000 in value) shall be entitled to fixed cumulative dividends at the rate of 8% per annum on the investment amount (payable annually at the end of each financial year), commencing from the 3rd financial year post the date of issuance of the Shares, until the Shares are redeemed or converted in accordance with this Term Sheet.
Class 2: Investments in the range of RM 16,000 to RM 49,000
The owner of Shares within this class (with a minimum investment amount of RM 16,000.00 to RM 49,000.00 in value) shall be entitled to fixed cumulative dividends at the rate of 8.5% per annum on the investment amount (payable annually at the end of each financial year), commencing from the 3rd financial year post the date of issuance of the Shares, until the Shares are redeemed or converted in accordance with this Term Sheet.
Class 3: Investments in the range of RM 50,000 to RM 99,000
The owner of Shares within this class (with a minimum investment amount of RM 50,000.00 and above in value) shall be entitled to fixed cumulative dividends at the rate of 9.0% per annum on the investment amount (payable annually at the end of each financial year), commencing from the 3rd financial year post the date of issuance of the Shares, until the Shares are redeemed or converted in accordance with this Term Sheet.
Class 4: Investments of RM 100,000 and above
The owner of Shares within this class (with a minimum investment amount of RM 100,000.00 and above in value) shall be entitled to fixed cumulative dividends at the rate of 9.5% per annum on the investment amount (payable annually at the end of each financial year), commencing from the 3rd financial year post the date of issuance of the Shares, until the Shares are redeemed or converted in accordance with this Term Sheet.
